Welcome to iStudios Media! These Terms of Service (“Agreement”) govern your access to and use of services provided by iStudios Media (“Company,” “we,” “our,” or “us”), including but not limited to video production, marketing campaigns, subscription services, digital automation tools, and the iStudiosPlus platform.

By accessing or using any service from iStudios Media, you agree to these Terms of Service. If you do not agree, please do not use our services.

    Services Provided

    iStudios Media offers a variety of services including, but not limited to:

    • Video production and editing

    • Photography and content creation

    • Paid advertising and media buying

    • Performance-based marketing campaigns

    • Website and funnel development

    • Social media marketing

    • Search Engine Optimization (SEO)

    • Marketing automation and CRM services via iStudiosPlus

    • Branding and digital strategy consulting

    Custom packages and performance-based partnerships may be governed by additional signed agreements.

    2. Eligibility

    • To use our services, you must be at least 18 years old and capable of entering into binding contracts. Services are primarily offered in North America unless otherwise stated.

      3. Payments & Fees

      • One-time projects, campaigns, and creative work will follow agreed upon estimates or invoices.

      • Subscription-based services (e.g., iStudiosPlus) require payment via automatic billing.

      • The iStudiosPlus platform includes a setup fee and monthly ongoing subscription unless otherwise negotiated.

      • Payment terms are due upon receipt unless stated otherwise on the invoice.

      • Late payments may result in service interruption, late fees, or collection efforts.

        4. Performance-Based Marketing

        In performance-based partnerships, clients agree to pay a one-time setup fee and a recurring percentage of profit based on leads/sales directly attributed to our services. Clients are required to provide accurate reporting and transparency. Additional terms are outlined in individual agreements.

        5. Ownership of Content

        • You retain full ownership of all original content you provide.

        • Unless otherwise agreed, content we create for you (videos, photos, branding assets) becomes your property once full payment is received.

        • iStudios Media reserves the right to showcase anonymized results and non-confidential project work in its portfolio or case studies, unless otherwise requested in writing.

        6. Confidentiality

        We agree to keep all sensitive information confidential and not share your proprietary business information without consent. Likewise, we expect clients to treat our proposals, systems, and internal practices as confidential.

        7. Use of Platform (iStudiosPlus)

        If you are a user of our iStudiosPlus platform (a white-labeled GoHighLevel solution), you agree to:

        • Use the platform for lawful, professional business purposes only

        • Not misuse or spam communication tools (SMS/email/calls)

        • Follow compliance standards for A2P messaging, opt-in/opt-out, and data protection

        • Maintain an active subscription for continued access

        • Accept that functionality and uptime may depend on third-party providers

        We may suspend or terminate access for misuse, illegal activity, or non-payment.

        8. Client Responsibilities

        Clients are expected to:

        • Provide necessary access, brand assets, and timely feedback

        • Review and approve deliverables within a reasonable timeframe

        • Clearly communicate goals, deadlines, and expectations

        • Adhere to the scope outlined in agreements or proposals

        9. Cancellation & Refund Policy

        • Most services are non-refundable once work has commenced or deliverables have been sent.

        • Subscription services (iStudiosPlus) are month-to-month and can be canceled at any time. Access will remain active until the end of the billing cycle.

        • Setup fees, content production, and custom work are non-refundable.

        10. Limitation of Liability

        iStudios Media will not be liable for:

        • Business losses, missed sales, or third-party platform errors

        • Decisions made based on marketing results or client-side issues

        • Data loss or downtime caused by user error or external systems

        Our total liability is limited to the total fees paid for the specific service in question.

        11. Indemnification

        You agree to indemnify and hold iStudios Media harmless from any claims, damages, or legal disputes resulting from your misuse of our services, unlawful actions, or breach of this Agreement.

        12. Changes to Terms

        We may update these Terms of Service at any time. If significant changes are made, we will notify users via email or dashboard alerts. Continued use of services constitutes acceptance of revised terms.

        13. Governing Law

        These terms are governed by the laws of the State of California. Any disputes shall be handled in the state or federal courts located in Alameda County, California.
